Terms and Conditions of Sale and Service

These Terms and Conditions of Sale and Service (“Terms”) govern quotations, orders, repairs, inspections, fabrication, manufacturing, field services, parts sales, and other products or services provided by PSI Hydraulics (“PSI,” “we,” “us,” or “our”).

These Terms are separate from the Terms of Use governing PSI’s website.

 

1. Acceptance of These Terms

A customer accepts these Terms by doing any of the following:

  • Accepting or approving a PSI quotation, proposal, work order, order acknowledgment, or similar document that refers to these Terms;

  • Authorizing PSI to begin work;

  • Submitting an order to PSI;

  • Delivering equipment, components, materials, drawings, or other property to PSI for inspection or service; or

  • Accepting products or services from PSI.

If PSI and the customer enter into a separate written agreement signed by authorized representatives of both parties, that agreement will control to the extent it conflicts with these Terms. Otherwise, these Terms, together with the applicable quotation, work order, order acknowledgment, or invoice, constitute the agreement between PSI and the customer.

Terms contained in a customer purchase order or other customer document that add to or conflict with these Terms are rejected unless PSI expressly accepts them in a written agreement signed by an authorized PSI representative.

 

2. Quotations and Orders

A PSI quotation is an invitation for the customer to place an order and does not obligate PSI to perform work until PSI accepts the order or begins performance.

Quotations are valid for the period stated in the quotation. If no validity period is stated, PSI may revise or withdraw the quotation at any time before accepting the customer’s order.

Pricing and schedules may be based on information provided by the customer before inspection or disassembly. If PSI discovers additional damage, contamination, wear, required work, missing information, or conditions that materially affect the scope, PSI may pause work and request authorization for a revised scope, price, or completion schedule.

Changes to an accepted order must be approved by PSI. A change may result in additional charges, revised specifications, or a revised delivery date.

 

3. Customer Information and Authorizations

The customer is responsible for providing complete and accurate information concerning the equipment, application, operating conditions, specifications, materials, dimensions, fluids, pressures, loads, compatibility requirements, safety requirements, and intended use relevant to PSI’s work.

The customer represents that it:

  • Owns the equipment or property submitted to PSI or is authorized by the owner to request the work;

  • Has the right to provide all drawings, photographs, specifications, data, and files submitted to PSI;

  • Has disclosed any hazardous substances, stored energy, contamination, unusual operating conditions, or other material safety concerns associated with the equipment; and

  • Will review and approve specifications, drawings, proofs, or recommendations when approval is requested.

PSI may rely on information and approvals provided by the customer. PSI is not responsible for errors, delays, failures, or additional costs caused by incomplete, inaccurate, or untimely customer information.

 

4. Drawings, Specifications, and Customer-Supplied Designs

Drawings, photographs, samples, models, specifications, and other information provided by the customer remain the customer’s property or the property of their respective owners.

The customer grants PSI permission to use, reproduce, modify, and share those materials with PSI personnel, contractors, suppliers, and service providers as reasonably necessary to evaluate the request, prepare a quotation, manufacture or source products, perform services, and maintain business records.

When PSI manufactures or supplies an item according to a customer-provided design or specification, the customer is responsible for the design’s accuracy, suitability, safety, legal compliance, and fitness for its intended application unless PSI expressly agrees otherwise in a signed written agreement.

The customer will not submit material that infringes another party’s intellectual-property, confidentiality, privacy, or other rights.

 

5. Pricing, Taxes, Freight, and Additional Charges

Prices are stated in the applicable quotation, order acknowledgment, work order, or invoice.

Unless the applicable document expressly states otherwise, quoted prices do not include:

  • Sales, use, excise, or similar taxes;

  • Shipping, freight, insurance, delivery, or expedited transportation;

  • Special packaging;

  • Permits, inspections, or third-party certifications;

  • Removal, installation, commissioning, or field labor; or

  • Work outside the stated scope.

The customer is responsible for applicable taxes and charges unless it provides PSI with valid exemption documentation.

 

6. Payment

Payment is due according to the terms stated in the applicable quotation, work order, order acknowledgment, or invoice.

PSI may require a deposit, progress payments, payment before shipment, or another payment arrangement when stated in the applicable transaction document. PSI may suspend work, withhold delivery, or decline additional orders if an account is past due or if PSI reasonably believes payment is at risk.

The customer is responsible for reasonable collection costs, including attorneys’ fees, to the extent permitted by law. Any interest or late charge will apply only as stated in the applicable transaction document and as permitted by law.

A good-faith dispute concerning part of an invoice does not excuse timely payment of undisputed amounts.

 

7. Scheduling and Delivery

Production, repair, completion, and delivery dates are estimates unless PSI expressly guarantees a date in a signed written agreement.

PSI is not liable for delays caused by events beyond its reasonable control, including supply shortages, carrier delays, labor disruptions, equipment failures, power outages, severe weather, natural disasters, fire, governmental actions, war, civil disturbance, epidemics, acts of terrorism, or delays caused by the customer or a third party.

PSI may make partial shipments or partial deliveries when commercially reasonable.

 

8. Inspection and Acceptance

The customer should inspect products and completed work promptly after delivery or completion.

The customer must notify PSI within a reasonable time after discovering any alleged shortage, shipping damage, nonconformity, or defect. The notice should identify the relevant order and describe the issue in sufficient detail for PSI to investigate.

The customer may not return products, components, or equipment without PSI’s prior authorization. Approved returns are subject to the conditions provided with the return authorization.

Custom-made, specially ordered, modified, used, electrical, or otherwise nonreturnable items may not be eligible for cancellation or return unless PSI agrees otherwise in writing or applicable law requires it.

 

9. Customer Equipment and Property

PSI will exercise commercially reasonable care when handling customer equipment and property.

The customer acknowledges that inspection, diagnosis, testing, disassembly, repair, cleaning, or attempted removal of damaged or corroded components may reveal existing damage or cause equipment that was already worn, seized, contaminated, or compromised to become unusable.

To the maximum extent permitted by law, PSI is not responsible for preexisting conditions, hidden defects, normal diagnostic consequences, or loss resulting from inaccurate information supplied by the customer.

The customer should retain copies of electronic files and records submitted to PSI. PSI is not a file-storage or archival service.

 

10. Installation and Use

Unless PSI expressly agrees to perform installation, the customer is responsible for proper installation, inspection, testing, maintenance, operation, and use of supplied products or repaired equipment.

Hydraulic systems can involve high pressures, stored energy, heavy loads, heated fluids, hazardous environments, and other significant risks. Products and repaired equipment must be installed, tested, operated, and maintained by qualified personnel using appropriate safeguards and in accordance with applicable instructions, specifications, industry practices, and laws.

The customer is responsible for determining whether a product or service is suitable for the customer’s particular system and application unless PSI expressly accepts that responsibility in a signed written agreement.

 

11. Warranties

Any express warranty provided by PSI will be stated in the applicable quotation, work order, order acknowledgment, invoice, or separate written warranty.

Products manufactured by another company may be covered by the manufacturer’s warranty, if any. PSI may reasonably assist the customer with a valid manufacturer warranty claim but does not independently guarantee the manufacturer’s performance.

EXCEPT FOR AN EXPRESS WRITTEN WARRANTY PROVIDED BY PSI, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PSI DISCLAIMS ALL OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PSI does not warrant:

  • Damage or failure caused by misuse, abuse, accident, contamination, improper storage, improper installation, improper maintenance, unauthorized modification, incompatible components or fluids, or operation outside stated specifications;

  • Normal wear;

  • Customer-provided designs, specifications, parts, or materials;

  • Equipment or components outside PSI’s scope of work; or

  • Any particular operational result unless expressly guaranteed in writing.

Some jurisdictions do not permit certain warranty limitations. Any nonwaivable rights provided by applicable law remain in effect.

 

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PSI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST PRODUCTION, LOSS OF USE, BUSINESS INTERRUPTION, DOWNTIME, LOSS OF DATA, OR COSTS OF SUBSTITUTE EQUIPMENT, EVEN IF PSI WAS ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PSI’S TOTAL LIABILITY ARISING FROM A PRODUCT, SERVICE, ORDER, OR CLAIM WILL NOT EXCEED THE AMOUNT THE CUSTOMER PAID PSI FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot legally be limited or excluded.

 

13. Customer Responsibility and Indemnification

To the extent permitted by law, the customer agrees to defend, indemnify, and hold harmless PSI and its owners, employees, representatives, and contractors from third-party claims, damages, liabilities, and reasonable expenses arising from:

  • A customer-provided design, specification, instruction, material, or component;

  • Improper installation, maintenance, alteration, operation, or use after delivery;

  • Use outside the disclosed or intended application;

  • The customer’s violation of law or infringement of another party’s rights; or

  • The customer’s breach of these Terms.

This obligation does not apply to the extent a claim is caused by PSI’s negligence, willful misconduct, or other liability that cannot be excluded under applicable law.

 

14. Intellectual Property

Each party retains ownership of intellectual property it owned before the transaction.

Unless the parties agree otherwise in writing, payment for a product or service does not transfer ownership of PSI’s preexisting tools, manufacturing methods, processes, software, templates, know-how, trade secrets, or general technical knowledge.

Project-specific ownership or licensing requirements must be addressed in a separate written agreement.

 

15. Compliance With Laws

Each party is responsible for complying with laws and regulations applicable to its own activities.

The customer is responsible for permits, system-level approvals, environmental requirements, export or import compliance, operator training, workplace safety, and legal requirements relating to the customer’s installation and use of products or services.

 

16. Cancellation and Suspension

An accepted order may be canceled or changed only with PSI’s approval.

The customer is responsible for work already performed and for materials, special-order items, supplier cancellation charges, restocking charges, engineering time, and other reasonable costs incurred before cancellation.

PSI may suspend or terminate performance if the customer fails to make payment, provide required information or approvals, maintain safe working conditions, or otherwise materially breaches the agreement.

 

17. Electronic Communications

The customer agrees that quotations, approvals, authorizations, records, invoices, notices, and signatures may be created or transmitted electronically. Electronic records and signatures will have the same effect as paper records and handwritten signatures to the extent permitted by law.

 

18. Governing Law and Venue

These Terms and transactions governed by them are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any legal proceeding relating to these Terms or a covered transaction must be brought in a state or federal court having jurisdiction in or over Waller County, Texas, unless the parties agree otherwise in writing.

This section does not deprive a consumer of any nonwaivable protection provided by applicable law.

 

19. General Provisions

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect.

A party’s failure to enforce a provision is not a waiver of its right to enforce that provision later.

The customer may not assign its rights or obligations without PSI’s prior written consent. PSI may assign an agreement in connection with a merger, reorganization, sale of assets, or transfer of the applicable business.

Headings are for convenience and do not affect interpretation.

 

20. Changes to These Terms

PSI may update these Terms periodically. The version applicable to a transaction is the version in effect when the customer accepts the applicable quotation, authorizes the work, or places the order, unless the parties agree otherwise.
